VoIP SSPBX Terms of Service
1. Purpose
These Terms of Service (“TOS”) govern the use of Centuric’s Voice over IP (VoIP) services. The purpose of this document is to ensure services are used for standard business communications, protect service quality, and establish clear rights and obligations between Centuric and its clients.
2. Scope
This TOS applies to all Centuric clients and users who are assigned VoIP extensions, numbers, or trunks under Centuric-managed phone systems.
3. Definitions
- Unlimited Calling – No per-minute charges for eligible domestic calls within the USA, and for international calls to included destinations as defined in Centuric’s current Service Plan Details.
- Standard Business Use – Normal, person-to-person voice communication consistent with the calling patterns of a typical business.
- Excessive Use – Calling patterns or volumes significantly exceeding industry norms for similar-sized organizations.
4. Fair Use Rules
Domestic Calling
- Unlimited inbound and outbound calling within the USA, including U.S. toll-free numbers.
Minute Thresholds
- Centuric pools all of your extension minutes. Up to 2,500 external inbound and outbound USA minutes per extension per month is considered standard usage. Consistent usage above this threshold may incur overage charges or require migration to a high-volume plan.
International Calling
- Calls to designated countries may be included at no additional charge when calling landlines.
- Calls to international mobile numbers are billed unless explicitly included in your service plan.
- The current list of included international destinations is provided in Centuric’s Service Plan Details, which are available upon request. Centuric reserves the right to update this list periodically.
International Abuse Clause
- Deliberate routing of high-volume international calls (resale, call center operations, bypassing billing practices) is prohibited.
Non-Voice Usage
- Using the service primarily for non-human traffic (monitoring systems, automated feeds, etc.) is prohibited.
5. Acceptable Use Restrictions
Without prior written authorization, the following activities are prohibited:
- Call centers with abnormal volume or concurrency.
- Mass broadcasting (robocalls, political polling).
- Reselling Centuric services outside your organization.
- Fraudulent or illegal activity.
- Harassing or spam calling.
- Abuse of international calling (traffic pumping, continuous chaining, etc.).
6. Monitoring & Enforcement
- Centuric reserves the right to monitor aggregate call usage for compliance.
- Violations may result in:
- First occurrence: Written warning and service plan review.
- Second occurrence: Migration to a high-volume plan or overage billing.
- Severe or willful abuse: Immediate suspension or termination.
7. High-Volume Plan Option
Clients requiring higher capacity may request a High-Volume Service Plan, which may include expanded thresholds, predictive dialer compatibility, and pricing based on load.
8. Service Availability & Limitations
- VoIP services depend on client-provided internet and power. Centuric is not responsible for outages caused by third-party providers, natural disasters, or customer-side infrastructure.
- Emergency calling (E911) may be limited; clients are responsible for ensuring correct address registration.
9. Limitation of Liability
Centuric’s liability is limited to the lesser of (a) one month of service fees, or (b) the average monthly fees paid by Customer for the affected service during the twelve (12) months prior to the event giving rise to the claim. Centuric shall not be liable for indirect, incidental, or consequential damages, including loss of revenue, data, or business opportunities.
10. Indemnification
Client shall indemnify and hold Service Provider harmless from and against all liabilities, claims, damages, causes of actions, losses, expenses, and judgments (including reasonable attorney’s fees) arising out of, or in connection with, the services provided under this engagement, except to the extent caused by or arising out of the negligence or willful misconduct of the Service Provider (which for the avoidance of doubt shall include any service which breaches any trade secret, copyright, trademark, patent know-how or other proprietary or intellectual property right of any third party), in which case Service Provider shall indemnify and hold Client harmless from and against all liabilities, claims, damages, causes of actions, losses, expenses, and judgments (including reasonable attorney’s fees) arising out of, or in connection with, the services provided under this engagement.
Insurance Limitation. Service Provider’s indemnification obligations shall be limited to the extent of, and shall not exceed, the coverage and limits of its applicable insurance policies in effect at the time of the claim.
11. Force Majeure
Service Provider shall not be liable or deemed in breach of this Agreement for any delay or failure in performance caused by circumstances beyond its reasonable control, including but not limited to wars, riots, embargoes, strikes, labor disputes, acts of God, natural disasters, fires, floods, epidemics, actions or inactions of third parties (including interruption of internet or telecommunications services), governmental restrictions, or shortages of materials or power.
Service Provider’s obligations shall be suspended for the duration of any such delay, and Service Provider may cancel or postpone service performance so long as such performance is delayed by the above-mentioned occurrences. In such events, Service Provider shall have no liability to the Client arising from the delay or non-performance.
12. Governing Law
These Terms shall be governed by and construed under the laws of the State of Florida. Venue for disputes shall lie in the courts of Broward County, Florida.
13. Termination
- Termination by Either Party
Either party may terminate this Agreement at any time by providing thirty (30) days’ prior written notice to the other party. - Termination for Cause
Centuric may suspend or terminate Services immediately, with or without notice, if Customer:- Fails to pay any amounts due under this Agreement when owed;
- Violates the Acceptable Use Policy, Fair Use Policy, or any applicable law or regulation;
- Uses the Services in a manner that disrupts, degrades, or threatens Centuric’s network, systems, or other customers;
- Engages in fraudulent, abusive, or illegal activity; or
- Becomes insolvent, files for bankruptcy, or ceases business operations.
- Effect of Termination
Upon termination, all outstanding amounts shall become immediately due and payable. Fees prepaid by Customer are nonrefundable. Customer remains responsible for all charges incurred through the termination date. - Post-Termination Obligations
Upon termination, Customer shall immediately cease use of the Services and return or cease use of any Centuric-provided equipment, software, or materials. Centuric may, at its sole discretion, delete any data (including voicemail, call records, or configuration data) remaining in its systems after thirty (30) days from the termination date.
14. Modifications
Centuric may modify these Terms of Service with thirty (30) days’ notice via email or client portal publication. Continued use of services constitutes acceptance of updated terms.
